Alison T. Rosenblum practices in the area of health law. She regularly advises owners, operators, and managers of senior housing communities on regulatory and licensing matters, due diligence, and the drafting and negotiation of transaction documents in connection with multi-state transactions. She also counsels her clients on regulatory issues that arise in the context of day-to-day operations. In addition to her work on senior housing matters, Ms. Rosenblum advises a variety of healthcare providers including hospitals, physician groups, pharmacies, and healthcare professionals on a wide range of legal topics such as state and federal regulatory compliance matters, clinical research-related issues, HIPAA privacy concerns, fraud and abuse, reimbursement, licensure, and transactions. Ms. Rosenblum is a member of Duane Morris’ Recruitment and Retention Committee.
Ms. Rosenblum is a 2014 cum laude graduate of Harvard Law School, where she was co-chair of One Day's Work, a student-funded public interest fellowship, and a line editor for the Harvard Journal of Law & Technology. She received her B.A. from Yale University. Prior to law school, Ms. Rosenblum served for three years as a Paralegal Specialist in the Department of Justice’s Office of Vaccine Litigation and spent a year teaching English in southern France.

Representative Matters
Serve as health regulatory counsel to owner, operators, and managers of assisted living, memory care, and skilled nursing facilities nationwide, including handling facility licensing in connection with acquisitions and sales in various states; drafting transaction documents; conducting due diligence; preparing licensing opinion letters to lenders; and advising on regulatory and compliance issues arising in day-to-day operations.
Represented real estate investment fund as regulatory counsel in its acquisition of two multi-state portfolios of assisted living communities in the northeastern and southeastern United States, including providing regulatory input on transaction documents, review of financing agreements, and preparation of license opinion letters.
Represented large national healthcare REIT as regulatory and licensing counsel in its acquisition of seven licensed assisted living communities as part of a larger transaction valued at more than $1 billion; work included conducting health regulatory due diligence, providing regulatory input on transactional documents, preparing regulatory notices, and obtaining new assisted living licenses in Florida, Texas, California, and Hawaii.
Represented seller of portfolio of more than 20 skilled nursing and supportive living facilities.
Obtained operating licenses for clients in more than 20 states and the District of Columbia, in connection with both multi-state, multi-property acquisitions and smaller transactions.
On behalf of a large national healthcare REIT, assisted with healthcare regulatory due diligence of target facility operations and operational history of business partner companies in connection with acquisition of assisted living facilities and skilled nursing facilities in multiple states.
Advise clinical trial sponsors and clinical trial sites in drafting and negotiation of clinical trial agreements and study subject informed consent form.
Assisted clinical trial sponsor in review and internal investigation of complaint from clinical trial site related potential improper use and disclosure of clinical trial subject data.
Assisted a large physician group with compliance issues, including preparation and submission of Office of Inspector General Voluntary Self-Disclosure regarding overpayment issues for disqualified employee.
Drafted amendments for large Accountable Care Organization’s contracts with its ACO participants in advance of application to participate in Medicare Shared Savings Program.
Advised hospitals and ambulatory surgical centers on medical staff bylaws and related matters.
Obtained favorable outcomes for physicians and other licensed professionals in connection with disciplinary matters before state licensing boards.
Represented a provider of culinary and environmental services in the senior living industry that specializes in skilled nursing and rehabilitation facilities, in connection with its multimillion-dollar sale to Aramark (NYSE:ARMK).
Represented a provider of home healthcare services in connection with its multimillion-dollar sale by its members to a financial sponsor.
On behalf of several clients, successfully obtained Conditional Adult Use Cannabis Dispensary Licenses and a Craft Grower License pursuant to Illinois’ Cannabis Regulation and Tax Act.
Represented coalitions of doctors, medical administrators and professionals as amici before the U.S. Supreme Court in Whole Woman's Health v. Cole and in June Medical Services v. Russo regarding physician admitting privileges.
Part of a legal team that represented American College of Pathologists, Funeral Consumers Alliance, and experts in pathology and healthcare administration as amici before the U.S. Court of Appeals for the Fifth Circuit in Whole Woman's Health v. Hellerstedt regarding proper disposition of pathological waste under universal standards of care.
