Brad A. Molotsky practices in the area of real estate law. He serves as a lead for the Duane Morris Project Development/P3 group and as co-head of the firm's Opportunity Zones group. Mr. Molotsky’s primary practice is focused in the areas of opportunity zone fund creation and fund deployment, financing, public private partnership (PPP or P-3), real estate joint ventures (including mixed-use, life sciences and multi-family development), commercial leasing (including a focus in cannabis leasing), and acquisitions and divestitures. He also has deep experience in environmental, social, governance, public company issues such as enterprise risk, internal audit, compensation, as well as energy efficiency, sustainability and corporate social responsibility.

Prior to joining Duane Morris and for nearly 20 years, Brad served as executive vice president, general counsel and corporate secretary of Brandywine Realty Trust. At Brandywine, Mr. Molotsky was responsible for all legal operations of the company, including acquisitions and divestitures, financings, joint ventures, board matters, insurance procurement, litigation oversight, SEC filing oversight and the legal aspects of capital raising. During his tenure, the company grew from 40 buildings to approximately 300 buildings, totaling 28 million square feet.

In 2020, Mr. Molotsky was named a national influencer in the Opportunity Zone space by OZ Magazine and won The Philadelphia Inquirer Influencers of Law Award for Real Estate. He was also named by The Philadelphia Inquirer as an Influencer of Real Estate for Real Estate Legal Excellence in 2019. He was also named in The Legal Intelligencer's list of Pennsylvania Trailblazers for 2019. Mr. Molotsky was named one of Philadelphia Business Journal's 2018 "Best of the Bar: Top Lawyers in Philadelphia.  He was also named General Counsel of the year by the Philadelphia Business Journal in 2014 and NJBIZ in 2013 and was awarded the Martin Luther King Community Service award in 2014, the Township Sustainability Leader Award in 2016 and the Roger Davis Community Service Award in 2017.

Mr. Molotsky is a 1989 cum laude graduate of Villanova University Law School, where he was Order of the Coif, and also earned an M.B.A. in Finance from Villanova University. He is a 1986 cum laude graduate of the University of Delaware. Mr. Molotsky has also earned his LEED AP O+M certification. He also has earned an AV Preeminent® peer review rating from Martindale-Hubbell®.

Representative Matters

  • Represented Metropolitan QOZB LLC, a qualified opportunity zone business controlled by the Green Street Group, in connection with its acquisition of four parcels of property in the Williamsburg neighborhood of Brooklyn, New York. The acquisition is the first step in redeveloping the site into 132 market-rate multifamily housing units in an opportunity zone. Pacific National Bank provided financing to assist with the acquisitions and initial demolition of the buildings on the sites to enable the redevelopment to commence; construction financing will be used to start construction on the first 64 units with an overall cost of $82 million, including $30 million in opportunity zone equity.

  • Represented EMBREY, a San Antonio-based real estate investment company, in a joint venture with Cresset Real Estate Partners to develop a 395-unit multihousing project in Englewood, Colorado; the project is part of Cresset’s second qualified opportunity zone (QOZ) fund. The development will include a mid-rise apartment building and townhomes with modern amenities, aiming to stimulate economic growth in the designated QOZ area.

  • Represented Canoe Brook Holdings LLC in its role as exclusive redeveloper of a full city block in an $85 million 145-unit market rate development project in New Jersey. 

  • Represented Illicit Gardens in its $34 million acquisition of a deeply troubled cannabis operator, Harmony Foundation of New Jersey, out of receivership and in its conversion to for-profit status, while also securing regulatory approvals that were conditions to closing. Harmony is one of New Jersey's original medical cannabis licensees with a highly valuable permit allowing ownership of three dispensaries; Illicit's acquisition followed a two-year, multiparty receivership action in the Bergen County Chancery Division imposed due to executive misconduct.

  • Represented Patton Partners, LLC in connection with its 10-year, 6.01% permanent loan from Fannie Mae. The loan refinanced Patton’s construction loan for a 42-unit Opportunity Zone project in Philadelphia; equity invested in the deal is entitled to OZ benefits and will not be subject to capital gains tax when sold after 10 years.

  • Assisted general counsel of specialty mechanical engineering systems supplier in negotiating and executing a $23.5 million engineering, procurement and construction agreement with Texas power-plan operator regarding upgrades to their electric generation plant. 

  • Represented Rocket Development Partners LLC in connection with a $217.5 million construction project in Huntsville, Alabama (consisting of a $100 million equity investment, $100 million senior construction loan and $15 million mezzanine loan) structured as an opportunity zone investment.

  • Advised Linden Lane Capital in connection with its $40 million opportunity zone investment into, and simultaneous purchase of, 1201-15 Callowhill Street in Philadelphia. The purchase consisted of an existing parking lot that will be adaptively reused into 210 market-rate apartments and ancillary parking for the residents. The equity investment came from four sources, which invested in $12 million of common equity and $29 million of preferred equity, all of which will be entitled to opportunity zone benefits. 

  • Represented BGFP Philadelphia LLC, a joint venture comprised of affiliates of BG Capital and Freezpak, in securing a $42.5 million construction loan from Ocean First Bank and a $30 million CPACE loan from Nuveen Green; the loans will facilitate the construction of a $93 million, 172,000-square-foot, state-of-the-art cold storage warehouse in Philadelphia.

  • Represented K2 Housing, a startup client of the firm, on closing their second development transaction to buy and adaptively reuse older hotels and motels in resort communities in order to provide workforce housing. This transaction is a 104-room conversion of a Super 8 in Naples, Florida. 

  • Assisted Embrey Partners, LLC, in kicking off their $55 million dollar opportunity zone fund equity raise that will be used to acquire and develop of a four-story, approximate $110 million mixed used project in Charlotte, North Carolina.

  • Represented BG Capital, a large owner and developer of medical office and cold storage warehouse space, in the $8 million buy-out of an existing partner, the pay-off of an historic loan from Alcova Bank, the recapitalization of a joint venture with a new equity infusion of $2.8 million and $6 million from new investors, and the financing of the purchase of 3905 Ford Road in Philadelphia; the 115,000 SF building has been fully leased to a new medical user on a 10 year term.

  • Represented BG Capital, a large owner and developer of medical office and cold storage warehouse space, in its $10.6 million acquisition of 35 acres of land in Houston, Texas, which will be used to build two build to suit cold storage warehouses for a tenant who has leased the buildings on a 20 year basis.

  • Represented various subsidiaries of BG Capital, one of Philadelphia’s leading real estate investment and development companies, in the $77 million purchase and refinancing of the Constitutional Plaza medical office complex in Philadelphia in a joint venture with an affiliate of the Hampshire Companies, using funds from Hampshire and a Saudi Arabian sovereign wealth fund.  An especially elaborate deal structure was necessary given that interest payments to a lender are not permitted under Sharia law. 

  • Represented Embrey Development, a large residential and multifamily developer, in the closing of an Opportunity Zone joint venture investment in San Antonio, Texas. 

  • Represented a real estate investment manager as buyer in connection with its acquisition of 50 percent of the membership interests in a seven-story residential/retail building and five-story parking garage valued at $90 million.

  • Assisted BG Capital, LLC in establishing Wildwood OZ Fund, LLC, a qualified opportunity zone fund (QOF) in which $20 million in eligible capital gains were invested; the QOF will be used to create a qualified opportunity zone business and develop 74 units of workforce housing in Wildwood, New Jersey.

  • Represented Patton Partners, LLC, in closing a construction loan, the proceeds of which will be used to purchase and repurpose a building to create 42 units of market rate housing. The joint venture is structured as a qualified opportunity zone business (QOZB).

  • Represented High Properties in connection with a $22.5 million construction loan and note purchase on behalf of a single purpose entity to complete construction of a medical office building by High Construction on behalf of Penn State Health, in Manheim Township, Lancaster County, Pennsylvania.

  • Represented ResinTech, a manufacturer of ion exchange resins for water and wastewater treatment, and ActionPak, an affiliated packaging company, in the $118 million refinancing of their ion exchange resin manufacturing plant and packaging and distribution warehouse.  

  • Represented a family office client in establishing the Dove OZ, LLC, an opportunity zone fund created from an eight-figure capital gain. Dove OZ, LLC will develop 2020 at Providence, an $88 million market rate, residential ground-up project in Huntsville, Alabama; when completed in Q3 2021, the 360-unit development will feature 20,000 square feet of retail and office space and a multi-level parking garage.

  • Represented various subsidiaries of BG Capital, one of Philadelphia’s leading real estate investment and development companies, in the $50 million sale and refinancing of four separate properties in Philadelphia locally referred to as the Commonwealth Portfolio, to an affiliate of the Hampshire Companies.

  • Represented Delaware Technology Park, Inc. (DTP) in connection with its development of a 100,000 square foot office and classroom tower on the Star Campus of the University of Delaware, part of which will be leased to the University for its new business school; the $42 million capital stack included financing by Discover Bank, a New Markets Tax Credit allocation by Cinnaire Community Development Corporation, and a tax credit investment by U.S. Bank.

  • Representing Tower at Halsey and William Urban Renewal Company LLC, developers of 250 units of market rate and affordable housing in Newark, New Jersey, serving as deal counsel, creating an Opportunity Zone fund, and managing $175 million in ongoing financing, leasing, design, and development.

  • Represented a subsidiary of Textile of Europe, Inc. in buying out its partner in the ownership and lease of 480 Mercer Street in West Windsor, New Jersey; the purchase culminated two years of negotiations and was facilitated by a $6.5 million loan from Oceans Bank on the real estate and a $6 million revolving line of credit.

  • Represented 2120 East York LLC, the borrower/developer of 54 units of market rate housing in Philadelphia, in a transactional joint venture to create three separate, qualified opportunity zone funds, which in turn invested in a Qualified Opportunity Zone Business (“QOZB”) where a lender to the transaction, PNC Bank, also invested equity in the QOZB.

  • Representing PHL Next Stage Med and Republic Family of Properties in financing and equity fund raising in connection with the ground lease of a parcel of land from SEPTA and the design and building of a 125,000 square foot office and wet lab production facility for bio-technically engineered materials located in an Opportunity Zone.

  • Represented ResinTech and ActionPak in a $128 million transaction centered around the adaptive reuse of 27 acres of environmentally contaminated property in Camden, New Jersey. The site is being converted into the client's new global headquarters.

  • Assisted Public Health Management Corporation (PHMC) in leasing 100,000 square feet of space at 4601 Market Street, an historic 300,000+ square foot building, and in structuring a joint venture investment for PHMC with Iron Stone Partners in the adaptive reuse of the remainder of the property, utilizing historic and new market tax credits to create a neighborhood medical center and office complex.

  • Represented family office client in creation of an opportunity zone fund in furtherance of building a $190 million school.

  • Represented client in recapitalizing an existing joint venture investment in a shopping center, and simultaneously refinanced the purchase of the shopping center, valued at approximately $85 million, while structuring the investment to enable South American investors to enter the investment in tax efficient manner under FIRPTA.

  • Represented a Chilean multifamily family office in its $92 million acquisition and financing of a multi-level, 350,000 square foot shopping mall in Maryland; transaction included a joint venture with a commercial real estate development and net lease company in Tennessee, as well as a real estate acquisition and associated bank financing.

  • Represented the owner of a large apartment complex in its $130 million CMBS and mezzanine refinancing of an existing multifamily property in Philadelphia, Pennsylvania.

  • Representing a manufacturing client in utilizing a complex set of financing sources to design and build a state of the art 225,000 square foot manufacturing and office complex and a 125,000 square foot packaging and distribution facility in Camden, New Jersey using NJ Grow Credits, New Market Tax Credits, Construction and Mini Permanent Debt as well as Subordinated Debt which will create over 325 local and regional jobs.
