Dianne A. Meyer practices in the area of Commercial Finance, representing lenders and borrowers in secured and unsecured commercial lending transactions. She also practices in the area of municipal finance, acting as bond counsel, counsel to underwriters, borrower's counsel and counsel to credit enhancers on tax-exempt and taxable municipal finance transactions.

Ms. Meyer has extensive experience representing lending institutions in syndicated and other multibank loan transactions in both domestic and international transactions and also focuses in asset-based lending transactions.

The current edition of Chambers USA: America's Leading Lawyers for Business lists Duane Morris as having one of the top banking and finance practices in Pennsylvania, and cites Ms. Meyer as a leader in the field.

Ms. Meyer is a member of the Philadelphia Bar Association. She is also a past president of the Pennsylvania Association of Bond Lawyers and has served as secretary for that organization.

Ms. Meyer is a 1986 graduate of the University of Pennsylvania Law School and a graduate of Villanova University. Prior to attending law school, she was a certified public accountant.

  • Appointed by the Commonwealth of Pennsylvania to be co-underwriters' counsel for $2.8 billion in Pennsylvania unemployment compensation bonds.

  • Represented a zoo and closed a $45 million bond refinancing for infrastructure at the zoo's Safari Park.

  • Represented the lender in obtaining a $55 million secured financing, consisting of U.S. and Dutch credit facilities, provided to a global transportation company.

  • Represented four banks in separate letter-of-credit transactions enhancing four series of tax-exempt bonds aggregating $305,000,000 for a governmental agency in Pennsylvania.

  • Represented the lender in a $100,000,000 letter-of-credit transaction enhancing tax-exempt bonds for a governmental entity in Pennsylvania.

  • Represented the underwriters in the remarketing of $582,000,000 of single-family mortgage bonds.

  • Represented the underwriters in the issuance of $444,000,000 single-family revenue bonds.

  • Represented two lenders in separate liquidity facilities aggregating $240,000,000 that enhanced four series of revenue bonds for a health system in Pennsylvania.

  • Represented four lenders in five separate letter-of-credit facilities aggregating $221,230,000 that enhanced five series of variable-rate revenue bonds for a health system in California.

  • Represented the lender in a $75,000,000 letter-of-credit transaction that enhanced variable-rate bonds for a school district in Pennsylvania.

  • Represented the lender in a $96,000,000 letter-of-credit facility for a hospital borrower located in New Jersey to provide escrow reserves in connection with a $700,000,000 U.S. Department of Housing and Urban Development financing.

  • Represented the lender in aggregate $121,400,000 million letter-of-credit transactions that enhanced a series of variable-rate bonds for a hospital in Texas.

  • Represented the lender in a $45,000,000 off-balance-sheet letter-of-credit transaction enhancing variable-rate bonds for a joint venture among hospitals in the Boston, Mass., area to construct a cancer center.

  • Represented the lender in a secured $139,475,000 letter-of-credit transaction wrapping MBIA insurance that enhanced variable-rate bonds for a hospital in Florida.

  • Represented the lender in two letter-of-credit transactions aggregating $90,400,000 million wrapping Radian insurance that enhanced variable-rate revenue bonds for a provider of continuing-care retirement facilities in Pennsylvania. Also, represented the agent and lenders in a $60,000,000 multibank transaction.

  • Represented the lender in a $35,000,000 letter-of-credit transaction wrapping Radian insurance that enhanced revenue bonds for a continuing-care retirement community in Florida.

  • Represented the lender in a $34,050,000 letter-of-credit transaction wrapping Radian insurance that enhanced variable-rate bonds for a hospital in Connecticut.

  • Bond Counsel to the Pennsylvania Economic Development Financing Authority in its $10,000,000 issuance of manufacturing facility revenue bonds.

  • Bond Counsel to the Pennsylvania Economic Development Financing Authority in its $25.1 million issuance of water facility revenue bonds that closed in 2007.

  • Represented the agent and lead lender in an unsecured $90 million multibank transaction for a wholesale distributor of computers and computer-related products.

  • Represented the agent and lead lender in a secured $90 million multibank transaction for a borrower in the garment industry.

  • Represented the agent and lead lender in a secured $100 million multibank transaction for a borrower that sells and finances trucks and heavy equipment for small businesses.

  • Represented the University of San Diego in $93 million variable rate tax-exempt municipal bond financing enhanced by a letter of credit of BNP Paribas. The proceeds were used to finance the construction of various capital program on the University's campus.

  • Bond counsel to the Pennsylvania Economic Development Financing Authority in its $40 million issuance of water facility revenue bonds.

  • Represented Pennsylvania hospitals in $1.726 billion series of Commonwealth of Pennsylvania Medical Assistance Pooling transactions involving the Pennsylvania Foundation for the Advancement of Health Care.

  • Represented the agent and lead lender in a secured $40 million multibank transaction for specialty industrial equipment.

  • Represented the agent and lead lender in a $25 million multibank transaction for a borrower that leases heavy equipment to the construction industry.

  • Represented the lender in a secured $27.5 million letter-of-credit transaction enhancing a series of tax-exempt bonds for a start-up continuing care retirement community in New Jersey.

  • Represented lender in $47 million asset-based lending transaction with U.S. and Canadian facilities. Security interests were taken in assets in the U.S., Canada, United Kingdom, Mexico and Ireland. Duane Morris lawyers, through our United Kingdom office and lawyers with Mexican law background, handled U.S., United Kingdom and Mexico issues and interfaced with Canadian and Irish Counsel.

  • Represented lender in a $65 million line of credit to provide back-up liquidity for a variable rate tax-exempt bond issue. This was one of the few transactions of this type closed in the United States.

  • Represented the lender in a secured $60 million letter-of-credit transaction enhancing a series of variable-rate tax-exempt bonds for an obligated group of hospitals in Philadelphia.

  • Represented lender in a $30 million liquidity facility enhancing a series of variable-rate tax-exempt bonds for a university in Philadelphia.

  • Represented a university as borrower in a $28 million fixed-rate tax-exempt bond transaction.

  • Represented the agent and lead lender in a $40 million multibank acquisition financing transaction for a borrower in the pharmaceutical industry to acquire off-patent drugs.

  • Represented the lender in a $60 million letter-of-credit transaction enhancing three series of tax-exempt bonds for continuing care retirement communities located in the Philadelphia area.

  • Represented the lender in a $40,000,000 secured acquisition financing for a borrower in the container industry.

  • Represented the lender in a $12 million senior secured financing with investor subordinated debt.

  • Represented the lender in a secured $24 million letter-of-credit transaction enhancing a series of tax-exempt bonds for a new children's hospital in New Jersey. The total financing was $65 million.

  • Reviewed syndicated loan transactions on behalf of a lender buying a portion of facilities aggregating approximately $1 billion.
