Milagros Astesiano practices in the areas of intellectual property and information technology law, with a primary focus on intellectual property and technology transactions, data privacy and security, artificial intelligence, and licensing and other commercial contracts. Millie works with clients from start-ups to established national and multinational corporations across various industries, including software, artificial intelligence and immersive (VR/AR/MR) technologies, social media, gaming, education, health care, automotive, music, real estate development, and consumer and retail. Millie is admitted to practice in New York and in the City of Buenos Aires, Argentina. She earned an LL.B. (Hons) in Law from the Argentine Catholic University, and an LL.M. in Intellectual Property and Information Technology Law from Fordham University.
Technology Transactions, Licensing and Commercial Contracts
Millie regularly counsels clients in technology transactions, licensing, and other commercial contracts, including structuring, drafting, negotiating, and providing legal advice regarding in-bound and out-bound data licensing, content, trademark and brand licensing, software and API licensing, open source software licensing, software-as-a-service (SaaS) and service level agreements, software escrow agreements, collaboration and development agreements, consulting and professional services agreements, non-disclosure and confidentiality agreements, digital marketing and website terms.
Data Privacy and Security
Millie frequently counsels clients on the rapidly changing field of privacy and data protection under the U.S. legal framework, including but not limited to, the California Consumer Privacy Act, as amended, and other state privacy laws, Family Educational Rights and Privacy Act, Gramm-Leach-Bliley Act - Safeguards Rule and Biometric Information Privacy Act. She also counsels clients in the complex areas of privacy and cybersecurity, including cybersecurity preparedness, regulatory compliance and investigations, and data breach notifications.
Intellectual Property and Technology M&A Transactions
Millie also has vast experience assisting clients in connection with intellectual property, information technology and privacy issues within the context of local and cross-border M&A transactions, including conducting due diligence, drafting due diligence memorandum reports, and drafting and negotiating transactional documents. In the emerging area of artificial intelligence (AI), she advises clients on intellectual property and privacy issues related to training data and model development, diligence and procurement of third party models and products, and organizational policies and procedures related to use of AI in business operations. She has also experience providing product counsel support to tech clients, working closely with product teams and company stakeholders to advise on intellectual property issues and privacy-first approaches in all stages of research and development.
