N. Gordon Knox focuses his practice on complex commercial real estate and corporate transactions. He handles all aspects of tax-exempt financings, commercial financings and affordable housing development financings.
In the public finance area, Mr. Knox has extensive experience serving as bond counsel and counsel to issuers, bond purchasers and trustees. Mr. Knox regularly advises a corporate trustee representing the holders of tax-exempt bonds issued by municipal authorities to finance multifamily housing in Washington, D.C. In this capacity, he negotiates trust indentures, funding loan agreements and tax regulatory agreements to enable the trustee to receive debt service payments from conduit borrowers on behalf of the bondholders.
Mr. Knox represents national, regional and community banks and other financial institutions in structuring, negotiating and documenting transactions involving New Markets Tax Credits, construction loans, SBA loans, letters of credit, equipment leases and commercial loans secured by real estate and/or personal property.
Mr. Knox also represents healthcare systems in purchase, sale and leasing transactions. He advises lenders in connection with troubled credits and has extensive experience in documenting and negotiating forbearance agreements, deeds in lieu of foreclosure and restructuring credit facilities. He also serves as counsel to business owners and real estate developers.
Mr. Knox is a graduate of the University of Maryland School of Law (J.D., 1998), the American University in Cairo (M.A., 1993) and the College of William & Mary (A.B., 1990).

Representative Matters
Served as Bond Counsel to the D.C. Housing Finance Agency in the issuance of $59.7 million in tax-exempt bonds to finance the construction of a multifamily housing development.
Represented a leading investment management company in its purchase of $50.5 million in bonds issued by Washington County, Maryland; the bond proceeds were used toward refinancing the acquisition of retirement home facilities.
Represented American Education Properties, LLC (AEP) in the $214 million sale of thirteen facilities leased to charter schools in Arizona, California, Florida and North Carolina.
