Raul Rangel Miguel practices in the area of corporate law. Mr. Rangel Miguel has a multidisciplinary and multicultural practice focused on cross-border and domestic mergers and acquisitions, joint ventures, international trade, international investment and real estate development. In his international trade work, Mr. Rangel Miguel works closely with government regulators. He represents investors, developers, business owners, manufacturers and suppliers/retailers. His practice spans multiple industries, including automotive, industrials and manufacturing, business services, Fintech and financial services.

Mr. Rangel Miguel understands the business perspective, having worked in-house as international counsel at Neoris, a global digital consulting company and subsidiary of multinational company CEMEX; at a global investment company; and at a family office investing in real estate. At Neoris, among other things, he oversaw all commercial agreements with key clients, suppliers and partners and managed branch offices in Latin America, Europe and the United Arab Emirates.

Mr. Rangel Miguel earned an LL.M. from Northwestern University Pritzker School of Law and a Certificate in Business Administration from the Kellogg School of Management in 2010. He received a J.D. equivalent from the Instituto Tecnológicalo y de Estudios Superiores de Monerrey in 2004.

Representative Matters

    Mergers and Acquisitions

  • Represented Fultra, a Mexico-based provider of motor transportation equipment and parts in North America and parent company of Fruehauf, in its acquisition of East Manufacturing, an aluminum trailer maker.

  • Represented a private Mexican investor in multiple real estate development projects for the construction of office and residential buildings in Monterrey, Mexico, including drafting agreements with general contractors, other investors, banks, and marketing agencies. Managed and coordinated with tax advisors to reduce the tax burden on transactions.

  • Represented an engineering firm participating as a passive investor in a joint venture transaction with foreign investors, including drafting initial preparatory contracts (non-disclosure agreement and term sheet), formation of an investment vehicle, negotiating with investors’ counsel regarding the formation of a foreign holding company and ancillary transaction documents, and in the sale of its ownership interests in the joint venture in a contentious exit.

  • Represented a Mexican tannery company in a joint venture with an Italian company, including drafting agreements and performing due diligence.

  • Represented a Mexican Fintech company in raising funds from private equity investors, and drafting and negotiating deal documents.

  • Represented a satellite services company in the sale of all its shares to international investors, including drafting agreements and performing due diligence.

  • Acted as lead counsel for a Chinese company in the acquisition of real estate in Mexico, including production facilities and executive residential housing.

  • Represented a vehicle collision company in its acquisition of real estate in the New York and Michigan.

  • Represented Mexican appliance manufacturer in its $2.6 billion merger with an American appliance manufacturer, including antitrust filings to governmental agencies in Mexico.

  • Represented a construction company, in its sale of two shopping malls in Mexico to a foreign investor for approximately $1.827 million Mexican pesos, including managing due diligence.

    • General Corporate and Commercial Contracts

  • Advised multiple clients in the auto industry in negotiating supplier’s global terms and conditions with Original Equipment Manufacturers (OEMs) and other Tier 1 auto suppliers.

  • Advised an auto supplier in the recall of approximately 80,000 noncompliant products sold and installed in vehicles in the U.S., Canada, and Europe.

  • Advised a large multinational company in securing private debt from a bank using real estate as collateral.

  • Advised a tier-one auto supplier in negotiating a lease agreement and ancillary contracts for a manufacturing plant in Mexico.

  • Advised a tier-one auto supplier in developing procurement templates for upstream suppliers.

  • Advised a chemical company in the restructuring of its operations in Mexico, including drafting and negotiating key agreements.

    • International Trade and Regulatory Matters

  • Advised multiple clients in compliance related matters to Mexican data privacy, data security, ecommerce, social media, Internet of Things (IoT), artificial intelligence, online and mobile advertising, and consumer protection.

  • Advised multiple clients in compliance related matters related to the increase in regional value requirements, tariff shift, and labor value contents requirements.

  • Represented Brazilian multinational resin and plastics company in an antidumping investigation before the International Trade Commission and the Department of Commerce.

  • Advised a multinational auto supplier on the implications that tariffs may have in its supply chain.

  • Advised CEMEX the multinational cement company regarding the implications of the new USMCA and tariffs on its operations.
