PHILADELPHIA, June 1, 2022―Duane Morris LLP has appointed San Diego partner Joseph J. Machi and Miami partner Jennifer Migliori as vice chairs of the firm’s Private Equity Division within the Corporate Practice Group

“Overall, we are busier than ever, as the volume of private equity deals continues at a strong pace. As vice chairs, Jennifer and Joe will add their experience and strategic perspective to our growing Private Equity Division,” said Michael C. Joseph J. Machi represents clients across the country in mergers and acquisitions, securities offerings and other complex transactions and general corporate matters. He advises private equity funds and their portfolio companies, public and private companies, family business owners and founders in buy-side and sell-side transactions. Machi’s experience spans a variety of industries, including manufacturing, technology, life sciences and telecommunications. In particular, he is a well-established deal attorney in the education and education technology sectors. In addition to mergers and acquisitions, Machi represents investors and venture capital firms in securities offerings and other sophisticated transactions. He also represents growth companies and established private companies in securities offerings and other intricate transactions and general corporate and regulatory issues in numerous industries, including education, cannabis, life sciences and technology. He advises directors, management and founders on exit strategies, corporate governance matters and day-to-day operational needs.

Machi is a graduate of the University of San Diego Law School (J.D., cum laude, Order of the Coif, 2011), where he was comments editor of the San Diego Law Review, and the University of Southern California (B.S., cum laude, 2006). Prior to entering the practice of law, he worked as an auditor for Ernst & Young LLP, where he obtained his CPA license (now inactive).

Jennifer A. Migliori practices in the area of domestic and international taxation and business transaction planning. She has experience developing and implementing tax-efficient investment structures. Migliori’s practice includes entity and trust formation. Migliori has experience representing investors, fund managers, family offices, financial institutions and advisers. She has developed a focus on the various international information sharing arrangements and regularly advises clients and their advisers on issues arising under tax treaties, the Foreign Account Tax Compliance Act, exchange of information agreements and the Common Reporting Standard. In addition, she frequently assists clients with expatriation and pre-immigration tax planning and tax controversy matters, including audit representation and voluntary disclosures.

Migliori is a graduate of New York University School of Law (LL.M., 2014), the University of Virginia School of Law (J.D., 2013), where she was editor-in-chief of the Virginia Tax Review, and the University of Miami Herbert Business School (B.B.A., magna cum laude, 2006). She is a graduate of the Florida Fellows Institute of the American College of Trust and Estate Counsel.
