Vincent J. Nolan practices in the area of litigation, with a focus on the finance industry, including complex commercial litigation, internal corporate investigations, and white-collar matters before various federal agencies and regulators, including the U.S. Securities & Exchange Commission and the Office of Foreign Assets Control (OFAC) of the U.S. Department of the Treasury. He has international expertise in the litigation and defense of blockchain and crypto enforcement matters, including blockchain tracing.
Some highlights include Mr. Nolan’s successful prosecution of a Third Circuit appeal determining fiduciary duties under ERISA (Mushalla v. Teamsters Local No. 863 Pension Fund, 300 F.3d 391 (3d Cir. 2002)), obtaining specific performance of a multimillion-dollar real estate contract after a trial, and obtaining a favorable racial and sexual harassment and discrimination settlement against a major auto manufacturer. He is admitted to practice in Pennsylvania, New York, and New Jersey.
Mr. Nolan served as a law clerk to the Honorable Barry T. Albin of the Supreme Court of New Jersey and the Honorable James J. Ciancia, of the New Jersey Appellate Division. He has served on the Civil Practice Committee of the New Jersey Supreme Court and the New Jersey District IV Ethics Committee.
Mr. Nolan is active in the community and regularly handles pro bono matters. He was a member of the Board of Directors of Independence Residences. Inc., a not-for-profit human service agency committed to supporting the highest quality of life for people with developmental disabilities, visual and other impairments by providing innovative residential and community support services. Prior to attending law school, he spent two years as a Peace Corps volunteer in the Dominican Republic. While serving in the Peace Corps, Mr. Nolan assisted the residents of a remote village in establishing an elementary school for their children and also developed a unique training seminar to disseminate basic construction techniques.
Mr. Nolan is a 1999 graduate, with highest honors, of Rutgers University School of Law. He also obtained a Masters in Public Administration from the Rutgers University, with a concentration in International Development Policy, and was elected Pi Alpha Alpha, the Global Honor Society for Public Affairs & Administration.

Representative Matters
Represented Soligenix, Inc. in connection with its appeal of a delisting determination by Nasdaq Stock Market LLC for failure to comply with Nasdaq Listing Rule 5450(a)(1) (requiring common stock to maintain a minimum closing bid price of $1 for 30 consecutive trading days) and Nasdaq Listing Rule 5550(b)(1) (requiring a minimum of $2.5 million in stockholders’ equity or meet the alternatives of market value of listed securities or net income from continuing operations). Defended a plan of compliance which included the approval of a reverse stock split of Soligenix’s common stock to increase the stock price well above $1 per share and the dividend of super-voting preferred stock that mirrored the actual vote of common stock in order to overcome shareholder apathy and insure approval of the reverse stock split by Soligenix’s stockholders.
Obtained a settlement client, a developer of unique block chain designed to make crypto tokens accessible to small businesses, found favorable. The SEC filed a lawsuit against the developer as the lead defendant along with 3 co-defendants for securities fraud and the sale of an unregistered offering, seeking over $10 million in disgorgement. The final settlement contained favorable terms for the client, including settling with no admissions on a “neither admit or deny” basis, settling for less than 25% of the amount sought by the SEC, and avoiding a lifetime injunction from selling securities to the U.S.
Represented IQVIA Inc. (NYSE: IQV), a leading global provider of advanced analytics, technology solutions and clinical research services to the life sciences industry, in connection with its acquisition of all shares of capital stock of Cronos Clinical Consulting Services Inc., a leading global provider of specialty clinical service solutions with the goal of improving data quality in clinical trials.
Represented renowned mooncake manufacturer Mei-Xin (Hong Kong) Limited, a subsidiary of Maxim’s Caterers Limited, in obtaining an appellate victory from the Third Circuit, reversing the grant of preliminary injunction against Maxim’s and Mei-Xin after Mei-Xin sought to terminate its distribution agreement with Golden Fortune Import & Export Corporation.
Representing U.S. company for OFAC matters connected to Zimbabwe.
Defended a financial services company in an SEC investigation related to false statements regarding collateralized debt obligations (CDO).
Represented Taberna Europe, an Irish company that manages collateralized debt obligations, in obtaining a $34 million misrepresentation judgment in the London High Court against a failed Danish financial institution, Roskilde Bank.
Represented liquidation trustee of failed financial institution in claims alleging preferential transfers and breach of fiduciary duty. Entered settlement agreement receiving $80 million payment and rights to $275 million tax refund.
